Zeplin Supplemental AI Terms

1. Purpose

These Zeplin Supplemental AI Terms (“Zeplin AI Terms”) form a part of the Zeplin Terms of Service, the Zeplin Terms of Service for Enterprise, or other Customer agreement, as applicable, between you and Zeplin (the “Agreement”). These Zeplin AI Terms apply to your access and use of any Zeplin AI features (as defined below). Any defined terms used herein have the same meaning as in the Agreement, and these terms will govern if they conflict with any terms in the Agreement.

Zeplin AI” means the suite of machine learning-powered features and functionalities provided by Zeplin within the Services. These AI capabilities may be identified as such within these Zeplin AI Terms, Zeplin’s website, or within the Services interface. You are free to choose to use (and to continue to use or stop using) Zeplin AI features made available by Zeplin at your own discretion.

2. Input and Output

  1. Ownership. You and others in your Organization may provide input to be processed by Zeplin AI (“Input”), and receive output generated and returned by Zeplin AI based on Input (“Output”). When you use Zeplin AI, Input and Output are your Customer Data.
  2. Obligations. You are solely responsible for the development, content, operation, maintenance, and use of your Customer Data. You will ensure that your Input, your use of Zeplin AI and your use of Output will not (i) violate any applicable law; (ii) violate these Zeplin AI Terms, or the Agreement; or (iii) infringe, violate, or misappropriate any of our rights or the rights of any third party. You acknowledge that due to the nature of machine learning and the technology powering Zeplin AI features, Output may not be unique and Zeplin AI may generate the same or similar output to Zeplin or a third party.
  3. Use Restrictions. You may not use Zeplin AI or Output (i) to develop foundation models or other large scale models that compete with Zeplin or Zeplin AI; (ii) to mislead any person that Output from the Services was solely human generated; or (iii) in a manner that violates any technical documentation or usage guidelines.
  4. Model Training. Zeplin does not use your Customer Data or permit others to use your Customer Data to train the machine learning models used to provide Zeplin AI. Your use of Zeplin AI does not grant Zeplin any right or license to your Customer Data to train our machine learning models or those of third-party providers.
  5. Improving Zeplin AI. Artificial intelligence and machine learning models can improve over time to better address specific use cases. We may use data we collect from your use of Zeplin AI to improve our models only when you (i) voluntarily provide Feedback to us, including by labeling Output with a thumbs up or thumbs down; or (ii) give us your explicit permissionThis Privacy Policy applies to Personal Information that is Processed by Zeplin in the course of our business, including on Zeplin websites (each, a “Site”), mobile applications (each, an “App”), and other online or offline offerings (together with any and all future online and offline offerings operated by or on behalf of Zeplin, the “Services”). All individuals whose responsibilities include the Processing of Personal Information on behalf of Zeplin are expected to protect that data by adherence to this Privacy Policy. This Privacy Policy is intended to meet requirements globally, including those in North America, Europe, APAC, and other jurisdictions.

3. Limitations; Service Levels

  1. Limitations. Output is generated by artificial intelligence. Output is not verified by Zeplin for accuracy and does not imply Zeplin’s endorsement. Zeplin makes no warranty or guarantee as to the accuracy, completeness, or reliability of Output and will in no way be liable or responsible for your use of Output or any omissions or errors in Output. You are responsible for evaluating Output for accuracy and suitability for your use case, including by employing human review of Output and obtaining any relevant clearances.
  2. Service Levels. Notwithstanding anything to the contrary in your Agreement or the Service Level Terms, downtime of Zeplin AI that results from a failure of a third party service will not be included in the availability and uptime calculations.

4. Third Party Providers

Zeplin AI may include features which are powered by machine learning models operated by a third party. By using Zeplin AI you permit any relevant third party providers of such Zeplin AI features to use the Input and Output or other Customer Data submitted to the Zeplin AI features, solely as necessary to (i) provide the Zeplin AI features, (ii) comply with applicable laws, and (iii) enforce its policies. Zeplin shall contractually restrict any third-party provider of Zeplin AI features from using Input or Output for (x) training, (y) otherwise improving its large language models or other services, and/or (z) general use beyond the use required to provide the Zeplin AI features or as otherwise set out in these Zeplin AI Terms. Any third-party provider of Zeplin AI features shall act as a subprocessor of Customer Data submitted to the relevant Zeplin AI features, including Personal Information that may be contained in Input or other Customer Data. All processing of Customer Data will be governed by any DPA in place between Zeplin and Customer.

5. New Features

Zeplin may introduce new Zeplin AI features and functionality from time to time that are considered part of Zeplin AI. When doing so Zeplin may modify these Zeplin AI Terms to incorporate such additional features and functionality. Zeplin AI made available in beta is also governed by any beta terms found in an applicable Agreement or, if there are no beta terms in an applicable Agreement, then in the Zeplin Terms of Service.
